Terms & Conditions

These Terms & Conditions ("Terms") govern your access to and use of the tr8de.ai platform and mobile applications (the "Platform"), operated by 8118 Capital LLC FZ ("Company," "we," "us"), a company incorporated under the laws of the United Arab Emirates. By creating an account or using the Platform you accept these Terms and our Privacy Policy and Cookie Policy. If you do not accept them, do not use the Platform.

The Platform provides, as offered from time to time, including but not limited to: automated trading tools and bots that place trades on third-party exchange and brokerage accounts you connect (each a "Third-Party Platform"); a marketplace on which creators may list bots and trading strategies for other users ("Marketplace"); strategy development, backtesting and simulation environments, including execution of code you supply ("Labs"); artificial-intelligence assistants; manual trading, charting and market data displays; and associated account, billing and support services (collectively, the "Services"). The Services are in beta phase and are under active development.

You must be at least 18 years old and legally capable of entering binding agreements. You may not use the Services if you are located in, or a resident of, any jurisdiction where use of the Services is prohibited or subject to sanctions. You agree to provide accurate and complete information, to keep your credentials confidential, and to be responsible for all activity under your account. You may hold one account, unless we permit otherwise in writing.

To the extent permitted by law, we collect technical, device and approximate location information (such as country derived from your IP address) as described in the Privacy Policy, to deliver, secure and improve the Services and to meet legal obligations. You agree to provide any information, identification or verification ("KYC") we reasonably require, and you acknowledge that we may suspend or restrict the Services, hold balances or earnings, or close your account if verification is not completed or if we believe, in our sole discretion, that the Services are being used unlawfully, in breach of these Terms, or in a manner that creates legal, regulatory, security or fraud risk for us or others.

The Services connect to Third-Party Platforms through API keys you provide. API keys, passphrases and secrets are stored encrypted; nevertheless, you are solely responsible for your API keys, your account settings on Third-Party Platforms, and the permissions you grant. All trading occurs on your Third-Party Platform accounts using your funds; the Company does not hold or control your trading funds. We are not responsible for Third-Party Platforms — their performance, availability, security, fees, or the accuracy of their data — and you assume all risks of using them.

Some Services are provided in exchange for fees, priced in Platform credits ("Credits"), where 1 Credit equals 1 USD, purchased using the payment methods offered on the Platform, or through subscription plans. Credits are a prepaid right to access Services and features on the Platform only: they are not money, currency, securities, commodities or any other financial instrument, they are not an asset, they earn no interest, they are locked to the Platform, and they may not be sold, transferred or exchanged other than for Services. Fees, prices, plans, rates and payout terms are those displayed on the Platform at the time of the relevant action, and the Company may change them at any time during the beta phase. Subscription plans renew automatically at the end of each billing period until cancelled; you may cancel at any time, cancellation takes effect at the end of the current billing period, and no pro-rated refunds are given except where required by law. Plan features and prices may change during the beta phase, and a changed price applies from your next renewal. Except where non-excludable law requires otherwise, all payments and Credit purchases are final and non-refundable, and Credits have no cash value except as expressly provided on the Platform.

(a) Creators. If you list a bot or strategy on the Marketplace, you do so as an independent creator and not as our agent, employee or partner. You are solely responsible for your listings, their accuracy, and their compliance with these Terms and applicable law. You represent that you are not providing investment, financial or trading advice and are not acting as an adviser, broker or fiduciary for any other user. Seventy percent (70%) of the purchase price of each strategy sold through the Marketplace is credited to the creator as withdrawable USDT within a maximum of twenty-four (24) hours after the buyer's payment. For bots, a follower is charged 1 Credit for each $2 of net realized profit generated for that follower, and the creator earns $0.50 of it: the $2 is a threshold, not a rate — profit below $2 carries forward until the follower's running profit passes $2, and that event earns the creator $0.50 once, whatever the size of the profit. Other creator earnings, withdrawal minimums and fees are as displayed on the Platform, and earnings become withdrawable within a maximum of twenty-four (24) hours after they accrue. We may withhold, reverse or cancel earnings arising from breach of these Terms, manipulation, or abuse, and may withhold payouts pending completion of KYC. You are solely responsible for any taxes, duties, or reporting obligations arising from your creator earnings.

(b) Buyers and subscribers. When you purchase a strategy, you receive the licence the creator granted for it as displayed at the time of purchase. Unless the listing is marked personal-use-only, that licence is broad: you may use the strategy for any purpose, including commercial purposes, and resell it. Where the listing is marked personal-use-only, the licence is limited to your own personal, non-commercial use. In all cases the creator retains ownership of the strategy; you acquire no ownership or copyright in it, only the licence described. Your purchase is final (see Section 6). You keep access to what you purchased even if the strategy is later unpublished or updated; if a purchase is reversed, charged back or found to be fraudulent, the licence terminates immediately. For bots, purchases and subscriptions grant you a limited, non-exclusive, non-transferable licence to use the bot for your own purposes. Trading results — historical, simulated or projected — do not guarantee future performance, and you use bots and strategies entirely at your own risk with your own funds. The Company does not endorse any listing and is not a party to, and accepts no liability for, the performance of any creator listing, strategy or bot. Disputes between users (including between creators and their followers or buyers) are between those users only, and the Company has no obligation to resolve them.

Market, historical and third-party data available through the Services, and any results of backtests or simulations, are provided for information only, "as is," without warranty of accuracy, completeness or fitness for any purpose, and do not constitute investment advice. Simulated or past performance is not indicative of future results. Output of artificial-intelligence features is generated automatically, may be inaccurate or incomplete, does not constitute advice or a recommendation, and must not be relied upon as the sole basis for any decision. Code or files you submit for execution or processing run and are used entirely at your own risk; we may scan, refuse, restrict or remove any submitted code, file or upload for security, legal or compliance reasons.

You retain ownership of content you create or upload to the Platform, including strategies, bot configurations, code, images, files and communications ("User Content"). You grant the Company a worldwide, non-exclusive, royalty-free licence to host, store, process, reproduce, adapt and display User Content solely to operate, secure, support and improve the Services and, where you publish a listing, to promote it on and off the Platform. You represent that you hold all rights needed to submit your User Content and that it does not violate these Terms or any law. We may remove or restrict User Content at our discretion, and we may — but have no duty to — monitor it.

You must not: (a) violate any applicable law, sanction or regulation; (b) manipulate markets, statistics or Platform metrics, including wash trading, trading against yourself, or exploiting eligibility or pricing mechanisms; (c) infringe intellectual property or privacy rights; (d) upload malware or harmful code, or probe, scan or breach the Platform's or any Third-Party Platform's security; (e) reverse engineer, scrape, resell or overload the Services, or bypass any technical restriction; (f) use the Services on behalf of any person not permitted to use them; or (g) interfere with other users' use of the Services.

The Services are provided in beta. Features may be added, changed, suspended or removed, and performance, accuracy and availability cannot be guaranteed. Data, configurations, strategies and other User Content may be changed, lost or not recoverable during the beta phase; maintain your own copies. You use the Services during beta at your own risk.

The Services are provided "as is" and "as available" without warranties of any kind, express or implied. Nothing on the Platform constitutes investment, financial, legal, tax or trading advice or a solicitation to buy or sell any asset. The Company is not a broker, exchange, bank, money transmitter, custodian of your trading funds, or investment adviser, and does not execute transactions as principal. Trading — including automated trading — carries a high risk of loss, and you acknowledge you can afford those losses.

To the fullest extent permitted by law, the Company and its affiliates, officers, directors, employees and agents disclaim all liability, and shall not be liable — whether in contract, tort (including negligence), statute or otherwise, and even if advised of the possibility — for any direct, indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profit, revenue, savings, data or funds, arising from or relating to the Services — including trading losses, losses on Third-Party Platforms, reliance on Marketplace listings, backtests or AI output, and interruptions or errors in the Services. Where liability cannot be excluded, our total aggregate liability for all claims is limited to the total fees you paid to us in the twelve (12) months preceding the event giving rise to the claim. We are not liable for events beyond our reasonable control, including failures of Third-Party Platforms, blockchain networks, market events or internet infrastructure.

You will defend, indemnify and hold harmless the Company and its affiliates, and their respective officers, directors, employees and agents, from and against any claims, liabilities, damages, losses, costs and expenses (including reasonable legal fees) arising out of or relating to: (a) your use or misuse of the Services; (b) your breach of these Terms or any law; (c) your User Content, including any claim that it infringes or misappropriates any right of a third party; (d) bots, strategies, configurations, code or instructions you author, publish or apply; and (e) your transactions and activity on Third-Party Platforms. This obligation survives termination.

You may stop using the Services at any time. We may suspend, restrict or terminate your access to the Services, in whole or part, at our discretion, including for risk, security, verification or compliance reasons, including for repeated intellectual-property infringement, without notice and without liability to you. These Terms confer no rights on third parties. Sections 6, 8, 12, 13, 14 and 15 survive any termination.

During the beta phase, we may amend these Terms — including fees, features and any other term — at any time, at our sole discretion, by posting the updated version on the Platform. The version published on the Platform is the version in force, and your continued use of the Services constitutes acceptance of it. Upon the end of the beta phase, material amendments will be effective for you only upon your acceptance of an updated version; non-material clarifications may be made upon notice.

These Terms are governed by the laws of the United Arab Emirates, and the courts of the United Arab Emirates have exclusive jurisdiction over disputes that cannot be resolved by good-faith negotiation. You and the Company each bring claims individually only — not as a class, representative or consolidated action — and, to the extent permitted by applicable law, no claim may be brought more than twelve (12) months after the event giving rise to it. Your continued use of the Services, and any click, scroll or other electronic acceptance, constitutes valid electronic acceptance, and electronic records of it are admissible evidence. We may assign these Terms; you may not assign them without our written consent. If any provision is unenforceable, the remainder stays in force. These Terms are offered in English; any translation is for convenience only and the English version controls. These Terms, together with the Privacy Policy, Cookie Policy and any agreement you accept for a specific feature (such as the Marketplace Listing Agreement), form the entire agreement between you and the Company regarding the Services, and supersede any prior terms. We may provide notices to you through the Platform or by email, and you consent to receive them electronically.
